Terms of Service

These Terms of Service ("Terms") govern your use of harmonicmktg.com (the "Website") and Harmonic Marketing Ads Tool (the "App"), both provided by Jessie Elizondo d/b/a Harmonic Marketing, a sole proprietorship based in Lewisville, Texas ("Harmonic Marketing," "we," "us," or "our"). By using the Website or authorizing the App, you agree to these Terms. If you do not agree, please do not use them.

1. Our services

Harmonic Marketing provides marketing consulting and managed marketing services. The scope, fees, deliverables, and other terms of any client engagement are set out in a separate written agreement, proposal, or statement of work ("Client Agreement"). If a Client Agreement conflicts with these Terms, the Client Agreement controls.

2. The App

The App is a tool we use to access and manage Google Ads accounts and to produce reports on behalf of our clients. By authorizing the App, you confirm that:

  • You are authorized to grant access to the Google Ads accounts you connect, either as the account owner or on behalf of the business that owns them;
  • You permit Harmonic Marketing to view data in, and make changes to, those accounts as needed to deliver the services described in your Client Agreement or otherwise agreed with you;
  • You remain responsible for your Google Ads account, including your advertising spend, billing with Google, and compliance with Google's advertising policies.

You may revoke the App's access at any time through your Google Account permissions or in Google Ads. Our handling of Google user data is described in our Privacy Policy.

The App uses AI assistance to analyze data and prepare recommendations and changes. AI output can contain errors, and we review campaign changes with reasonable professional care. Advertising results are never guaranteed.

3. Acceptable use

You agree not to:

  • Use the Website or App for any unlawful purpose or in violation of any third-party terms, including Google's terms and policies;
  • Attempt to gain unauthorized access to, interfere with, or disrupt the Website, the App, or related systems;
  • Copy, scrape, or reverse engineer any part of the Website or App, except as permitted by law.

4. Third-party services

The Website and App rely on third-party services, including Google Ads, Google Cloud, and Anthropic. Your use of those services is governed by their own terms, and we are not responsible for their availability, performance, or changes to them.

5. Intellectual property

The Website's content, the Harmonic Marketing name and logo, and the App are owned by Harmonic Marketing and protected by intellectual property laws. You may view the Website for your own informational purposes. Ownership of deliverables created for clients is governed by the applicable Client Agreement.

6. Disclaimers

The Website and App are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Website content is for general information and is not professional, legal, or financial advice. We do not guarantee any specific marketing or advertising results.

7. Limitation of liability

To the fullest extent permitted by law, Harmonic Marketing will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Website or App. Our total liability for any claim relating to the Website or App will not exceed the greater of the fees you paid us in the three months before the claim arose or one hundred U.S. dollars ($100), unless a Client Agreement states otherwise.

8. Indemnification

You agree to indemnify and hold harmless Harmonic Marketing from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your misuse of the Website or App, your violation of these Terms, or your granting of access to accounts you were not authorized to share.

9. Termination

We may suspend or end access to the App at any time, including when a client engagement ends. You may stop using the Website or App and revoke access at any time. Sections that by their nature should survive termination will survive.

10. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute will be resolved exclusively in the state courts located in Denton County, Texas, or the United States District Court for the Eastern District of Texas, and you consent to their jurisdiction.

11. Changes to these Terms

We may update these Terms from time to time by posting a new version on this page with an updated "Last updated" date. Continued use of the Website or App after changes take effect means you accept the updated Terms.
